Welcome to ShopCarWash. These Terms of Service ("Terms") govern your access to and use of the ShopCarWashplatform, including our website and related services (collectively, the "Service"). Please read these Terms carefully before using our Service.
Agreement to Terms
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
1. Eligibility
To use our Service, you must:
- Be at least 18 years of age
- Have the legal authority to enter into these Terms on behalf of yourself or the organization you represent
- Not be prohibited from using the Service under applicable laws
By using the Service, you represent and warrant that you meet all of the foregoing eligibility requirements. Our Service is not directed to individuals under the age of 18. If we learn that we have collected personal information from a user under 18, we will take steps to delete that information promptly.
2. Description of Service
ShopCarWash provides an online platform connecting car wash industry professionals. Our Service includes, but is not limited to:
- A services directory for car wash service providers (installation, maintenance, chemicals, consulting)
- An equipment marketplace for buying and selling car wash equipment
- Service provider profiles, reviews, and ratings
- Direct messaging between buyers, sellers, and service providers
- Saved searches and listing alerts
- Business listing and real estate directory features
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice. For material changes or feature removals, we will provide at least 30 days advance notice where practicable. If we discontinue a paid feature you have purchased, we will provide a pro-rata refund for any unused portion of the fee. We will not be liable to you or any third party for any modification, suspension, or discontinuation of free features of the Service.
3. Account Registration and Security
To access certain features of the Service, you must create an account. ShopCarWash uses a shared Titan Wash Tech account system. Your account may be used across other Titan Wash Tech products and services. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You are responsible for safeguarding your password and any activities or actions under your account. We are not liable for any loss or damage arising from your failure to comply with this requirement.
4. Fees and Payments
4.1 Free Platform
ShopCarWash is free to browse, free to list, and charges no commissions on transactions conducted through the platform. We do not take a percentage of any sale or service fee.
4.2 Optional Paid Features
We may offer optional paid features such as featured listings, additional listing photos, promoted placements, or premium profile upgrades. These are available for a flat fee and are clearly identified before purchase. Pricing for optional features is available on our website.
4.3 Payment Processing
Payments for optional paid features are processed through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your selected payment method for applicable fees and taxes.
4.4 Refunds
Fees for optional paid features are generally non-refundable, except where we discontinue a paid feature before the purchased period expires (in which case a pro-rata refund will be issued). If you believe a charge was made in error, contact us at legal@titanwashtech.com within 14 days of the charge.
5. User Responsibilities
When using our Service, you agree to:
- Use the Service only for lawful purposes
- Comply with all applicable federal, state, and local laws
- Maintain accurate and up-to-date information in your account and listings
- Ensure that your use of the Service does not violate any third-party rights
- Respond promptly and honestly to inquiries about your listings or services
- Complete transactions in good faith when you have committed to buy or sell
6. Prohibited Uses
You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Post fraudulent, misleading, or deceptive listings or service profiles
- Misrepresent the condition, availability, or price of equipment or services
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Transmit any viruses, malware, or other malicious code
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated systems (bots, scrapers) to access the Service without our express written permission
- Share your account credentials with third parties
- Use the Service to send unsolicited communications (spam)
- Harass, threaten, or intimidate other users of the Service
- Post content that is defamatory, obscene, or otherwise objectionable
- Use the Service in violation of any applicable export control or sanctions laws
7. User-Generated Content and Listings
7.1 Your Responsibility
You are solely responsible for the accuracy, completeness, and legality of all content you post on the Service, including equipment listings, service profiles, reviews, messages, and any other user-generated content.
7.2 Listing Accuracy
When listing equipment for sale or advertising services, you must accurately represent the item or service, including its condition, availability, pricing, and any known defects or limitations. Fraudulent or intentionally misleading listings are prohibited and may result in account termination.
7.3 Content Moderation
We reserve the right to remove or modify any content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or inappropriate. We are not obligated to monitor all content but may do so at our discretion.
7.4 Transactions Between Users
ShopCarWashis a platform that connects buyers, sellers, and service providers. As provided under Section 230 of the Communications Decency Act (47 U.S.C. § 230), we are not the publisher or speaker of user-generated content on our platform. We are not a party to any transaction between users. We do not guarantee the quality, safety, or legality of items listed, the truth or accuracy of listings, or the ability of sellers to sell or buyers to pay. Users are responsible for conducting their own due diligence.
7.5 Messaging
The Service provides messaging functionality to facilitate communication between users. We do not monitor, endorse, or guarantee the accuracy of information exchanged via messages. You are solely responsible for the content of messages you send. Agreements made via messaging are between the parties involved;ShopCarWash is not a party to and bears no liability for such agreements.
7.6 Reviews and Ratings
Reviews and ratings must reflect genuine experiences. Fake, incentivized, or retaliatory reviews are prohibited. If you believe a review is fraudulent or violates these Terms, you may report it through the platform. We will investigate reported reviews and may remove them at our sole discretion. We do not guarantee that disputed reviews will be removed, and we are not liable for the content of user reviews.
8. Copyright and DMCA Policy
We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), we will respond to notices of alleged copyright infringement that comply with the DMCA and applicable law.
8.1 Filing a DMCA Takedown Notice
If you believe that your copyrighted work has been copied and is accessible on the Service in a way that constitutes copyright infringement, please provide our designated DMCA agent with the following information:
- A physical or electronic signature of the copyright owner or authorized representative
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing, with enough detail to allow us to locate it on the Service
- Your contact information (name, address, telephone number, email address)
- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner

8.3 Counter-Notification
If you believe your content was removed by mistake or misidentification, you may submit a counter-notification to our DMCA agent including: your physical or electronic signature, identification of the removed material and its prior location, a statement under penalty of perjury that you have a good faith belief the material was removed in error, and your consent to jurisdiction in the federal court for the district in which your address is located.
8.4 Repeat Infringers
We will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances.
9. Intellectual Property Rights
9.1 Our Intellectual Property
The Service and its original content, features, and functionality are owned by Titan Wash Tech LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.
9.2 Your Content
You retain ownership of any content, data, or materials you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely to provide and improve the Service.
9.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.
10. Third-Party Services
Our Service integrates with third-party services including Firebase (Google) for authentication and data, Stripe for payment processing, and Vercel for hosting. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party service providers.
11. Disclaimer of Warranties
Important Notice
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Any warranties arising from course of dealing or usage of trade
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not make any warranty regarding the accuracy, reliability, or quality of any listings, services, or content posted by users.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TITAN WASH TECH LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Loss of business opportunities
- Business interruption
- Cost of substitute services
- Damages arising from transactions between users
WHETHER ARISING FROM CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO ShopCarWash IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify, defend, and hold harmless Titan Wash Tech LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party, including intellectual property rights
- Your violation of any applicable laws or regulations
- Any User Content you submit to the Service
- Any transaction or dispute between you and another user
14. Dispute Resolution and Governing Law
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
14.1 Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@titanwashtech.com. We will attempt to resolve the dispute informally within 60 days.
14.2 Binding Arbitration
Important: Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in the English language and take place in Tennessee or, at your election, may be conducted entirely online.
The arbitrator shall have exclusive authority to resolve all disputes, including the scope and enforceability of this arbitration provision. The arbitrator's decision shall be final and binding on both parties.
14.3 Small Claims Court Exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits, provided the action remains in small claims court and is not transferred or appealed to a court of general jurisdiction.
14.4 Arbitration Opt-Out
You may opt out of this arbitration agreement by sending written notice to legal@titanwashtech.com within 30 days of first accepting these Terms. Your opt-out notice must include your full name, account email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, disputes will be resolved exclusively in the state or federal courts located in Tennessee.
14.5 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR IN COURT (IF YOU HAVE OPTED OUT OF ARBITRATION), WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, the entire dispute resolution section shall be null and void.
15. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
You may delete your account at any time through your account settings or by contacting us. Upon termination:
- Your right to access and use the Service will immediately cease
- Your active listings will be removed from the marketplace
- We may delete your account and User Content after 90 days, except where retention is required for legal compliance
- Any unused portion of a paid feature may be refunded on a pro-rata basis at our discretion
- Sections that by their nature should survive termination will survive, including intellectual property, DMCA, disclaimers, indemnification, arbitration, and limitation of liability
16. Changes to These Terms
16.1 Notice Periods
We will provide the following advance notice for changes:
- Material Terms changes: 30 days notice via email
- Price changes: 30 days notice before your next billing cycle (for paid features)
- Feature removal: 30 days notice for significant features; minor changes may be immediate
- Security updates: Immediate, with notification as soon as practical
16.2 Your Options
If you disagree with material changes to these Terms, you may delete your account before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
17. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Titan Wash Tech regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, labor disputes, power failures, internet disruptions, or third-party service provider outages.
- Export Compliance: You agree not to use or access the Service in violation of any U.S. export control laws or sanctions regulations.
